End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Individual Entrepreneur Kolmakov O. V. (trading as Baza Developers). By installing, downloading, or using any software product provided by Baza Developers (the “Product”), you agree to be bound by the terms of this Agreement.

1. License Grant

1.1. Software License: The Product is licensed, not sold. Subject to your valid subscription and compliance with these terms, we grant you a limited, non-exclusive, non-transferable license to use the Product on the number of sites specified in your purchase plan.

1.2. GPL Compatibility: The PHP code portions of the Product are licensed under the GNU General Public License (GPL). However, access to the Product’s integrated services, automatic updates, and technical support is strictly limited to users with an active, valid license key.

2. Intellectual Property

2.1. Ownership: All title, copyrights, and intellectual property rights in and to the Product (including but not limited to images, animations, and text incorporated into the Product) are owned by Baza Developers.

2.2. Prohibitions: You may not redistribute, resell, or lease the license keys provided to you. Unauthorized distribution of license keys will result in immediate termination of this Agreement.

3. Subscription and Payments

3.1. Merchant of Record: Our order process is conducted by our online reseller https://stripe.com. Stripe is the Merchant of Record for all our orders.

3.2. Validity: Access to updates and support requires a valid, paid subscription.

3.3. Termination of Access: Failure to renew a subscription or a breach of these terms may result in the deactivation of your license key and loss of access to the Product’s premium features.

4. Privacy and Data

4.1. Data Collection: By using the Product, you agree to the collection of technical data (such as WordPress version, PHP version, and site URL) necessary for license verification and support.

4.2. Policy Reference: All data handling is governed by our Privacy Policy.

5. Limitation of Liability

5.1. “As Is” Basis: The Product is provided “as is” and “as available”. To the maximum extent permitted by law, Baza Developers excludes all warranties, express or implied.

5.2. Damages: In no event shall we be liable for any indirect, incidental, or consequential damages (including loss of data or profits) arising out of the use or inability to use the Product.

6. Termination

6.1. This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms.

6.2. Upon termination, you must cease all use of the Product and may be required to delete all copies in your possession.

7. Governing Law

7.1. This Agreement shall be governed by the laws of Ukraine. Any disputes shall be settled in the courts of Kyiv, Ukraine.
